Terms of Service
These Terms explain how Layka Studio works with clients: quotes, deposits, builds, care plans, accounts, and fair use. They are written for a small studio—clear, not corporate theater.

1. Who we are
“Layka,” “Layka Studio,” “we,” and “us” mean the business operating under the trade name Layka Studio at 2118 Santa Clara St., Laredo, TX, USA. Contact: operations@laykastudio.com. If you later see an LLC or DBA filing under a similar name, these Terms still apply to services sold through laykastudio.com unless we publish an update.
2. What these Terms cover
By using our website, creating an account, submitting a quote, booking a planning call, paying a deposit, or buying monthly care, you agree to these Terms and our Privacy Policy and Cookie notice. Services include custom websites and web apps, optional Android APK add-ons, organization/custom scoping, deposits and planning calls, and hosting/care plans.
3. Quotes are estimates
The online estimate form is a ballpark based on what you select. It is not a fixed-bid contract until we confirm scope in writing (email or account message is enough). Build timelines such as “usually 2–5 business days” are estimates, not guarantees. Scope changes, delayed content from you, third-party approvals, or complex integrations can extend delivery.
4. Planning calls
A paid planning call reserves time to clarify scope. If you move forward with a Layka build within 90 days, that fee is credited toward your project. If you do not proceed, the fee is earned for the consultation and is not refundable.
5. Deposits, balance, and refunds
- Deposit (typically 50%) is due to start. Work begins after payment clears.
- Once we have started work (including research, design, or setup), the deposit is non-refundable, because that time cannot be resold.
- If you cancel before we start and within 24 hours of paying, contact us—we’ll refund the deposit minus any non-recoverable Stripe fees when possible.
- Remaining balance is due at launch / handoff. We may delay go-live, transfer of production access, or final files until the balance is paid.
- Change requests outside the agreed scope are billed as a change order (new price and timeline) before that work starts.
6. Your responsibilities
You agree to provide content, logos, access, and feedback in a reasonable time; confirm that you have rights to materials you send us; keep account logins secure; and use the site/services lawfully. Delays on your side pause our clock without penalty to Layka.
7. Revisions
Each scoped project includes a reasonable round of revisions to align the build with the agreed brief (not a full redesign or new feature set). Extra rounds or new features are change orders. This keeps small projects affordable and predictable for both of us.
8. Ownership
After you pay in full for a project, you own the finished client-facing deliverables created specifically for you (your site content integration, project-specific pages, and custom logic built for your brief), subject to licenses for third-party tools.
Layka keeps ownership of pre-existing tools, frameworks, templates, internal admin systems, pricing engines, and know-how. We may reuse non-secret patterns on other projects. We may show your project in our portfolio unless you ask us in writing not to (reasonable privacy/branding requests honored).
9. Hosting, care plans, and fair use
Monthly care covers hosting and upkeep for a normal small-business site—not unlimited global traffic. Short spikes are fine; sustained high usage, abuse, malware, or crypto/mining-style load is not.
- We may throttle, suspend, or ask you to upgrade if traffic or resource use threatens stability or cost for other clients.
- Care does not include major redesigns, new apps, or 24/7 on-call unless we agree in writing.
- You can cancel care with notice before the next billing period; we can cancel for non-payment or abuse with notice when practical.
- First-party traffic analytics on Layka (and optional site traffic features you purchase) are for operational insight—not a guarantee of rankings or revenue.
10. Client site data vs Layka analytics
Layka’s own analytics track marketing and quote-funnel flow (traffic and growth signals). If you pay for website traffic features on a client site, that site’s analytics data is your business data. We access it only to operate and support the product, not to sell it. See the Privacy Policy for details.
11. Serving outside Laredo (including other states & Mexico)
We’re based in Laredo and focus on local work, but we may accept clients elsewhere in the U.S. or Mexico when it’s a good fit. Services are priced and billed in USD through Stripe unless we agree otherwise. You are responsible for any taxes or cross-border rules that apply to your business. These Terms are governed by Texas law even if you are abroad.
12. Payments & chargebacks
Payments are processed by Stripe. You authorize charges for the services you select. Chargebacks filed without contacting us first may result in suspension of work or accounts while we investigate.
13. Warranties & limitation of liability
We provide services professionally and in good faith. Except where the law does not allow it, services are provided “as is,” and Layka is not liable for lost profits, lost data, or indirect damages. Our total liability for a project is limited to the fees you paid us for that project in the 3 months before the claim. This is how a small studio can serve local businesses without enterprise legal risk.
14. Accounts
You must provide accurate account information and keep credentials private. We may suspend accounts for abuse, fraud, or non-payment.
15. Governing law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Disputes will be handled in state or federal courts located in Webb County, Texas, unless applicable law requires otherwise.
16. Changes
We may update these Terms by posting a new version with a new effective date. Continued use after changes means you accept the update for future work. Active paid projects stay under the Terms in effect when that project was paid, unless we both agree otherwise.
